The following are the SleeplessNode Terms of Service, in 15 articles, last updated 26 October 2026. Where versions in different languages conflict, the Chinese version governs.
Service provider and scope
SleeplessNode Ltd. operates sleeplessnode.trade, referred to as SleeplessNode or we. These terms apply to the website, accounts, AI Grid, AI Strategy, deposits, withdrawals, exchange connections, settlement, notifications and support services provided by SleeplessNode. They do not alter your agreements with exchanges, wallet providers, banks or other third parties. For convenience, other language versions of these terms may be provided. Where versions in different languages conflict, the Chinese version governs.
Account and identity verification
You must be at least 18 years old, have the legal capacity required by applicable law and provide true, accurate and complete registration information. Only one account per person. Accounts may not be transferred, lent or used by others. Before joining products, depositing, withdrawing or connecting an exchange, you may need to complete identity verification and provide supporting materials. You are responsible for keeping your password, two-factor authentication device and exchange API permissions secure. Unless you promptly report a compromised account or other irregularity, actions taken using your login, password, two-factor authentication or authorised API are treated as your own or authorised by you.
Products and trade execution
SleeplessNode offers AI Grid and AI Strategy. Trades are executed by a professional trading team. SleeplessNode records, reviews, displays and settles results. Product pages set out the product type, term, executing exchange, performance data, risk information and participation requirements. Performance data is labelled as either historical performance or sample data. Sample data is not actual trading results. SleeplessNode provides trading services and product information. It does not constitute investment advice and makes no promise of returns.
Cycles and settlement
Orders placed for the same product on the same calendar day (Beijing time) belong to the same cycle. The return rate for each cycle is entered by SleeplessNode based on data provided by the trading team and takes effect after review. Orders that have expired but whose results have not yet been reviewed are shown as "settling". Funds remain locked until the cycle result passes review and settlement is complete. Settlement is in USDC. Display currencies are used for reference only and do not affect the settlement asset or amount. Settlement rules: Profit equals Principal multiplied by Cycle return rate. Service fee equals Principal multiplied by Product service fee rate (charged once per cycle regardless of gain or loss). Amount credited equals Principal plus Profit minus Service fee, minimum zero. The service fee is charged on the principal each cycle, including losing cycles. The rate applied is that shown on the product page at the time of participation. Subsequent rate changes do not affect that order. Losses are deducted from principal, down to a minimum of zero. Historical performance shown on product pages does not indicate future results. Once you participate, funds are locked for the selected product term and cannot be withdrawn, transferred or used for other purposes early.
Deposits and SleeplessNode balance
SleeplessNode accounts are denominated in USDC. Supported deposit assets, networks, minimum amounts, confirmation counts, conversion rates and related fees are as shown on the deposit page. Non-USDC assets are converted to USDC at the price at the time of processing and credited to your SleeplessNode balance. Deposits below the minimum may be flagged as below minimum and will not be credited automatically until processed. You should use the address provided on the deposit page and verify the asset and network. Sending the wrong asset, wrong network or to an unsupported address may mean the asset cannot be credited automatically. SleeplessNode may assist but cannot guarantee recovery. Reasonable costs incurred in recovery are borne by the responsible party.
Withdrawals
Withdrawals are supported in USDC only. Withdrawal fees, minimum withdrawal amounts, per-transaction limits and daily limits are as shown on the fees page or withdrawal page. Each withdrawal requires manual review. Once approved, SleeplessNode sends an on-chain transfer from the designated wallet and verifies the result by transaction hash. A successful submission means only that SleeplessNode has accepted the request, not that funds have arrived. On-chain transfers generally cannot be reversed once sent. Final arrival time depends on blockchain confirmation and the processing rules of the service handling your receiving address.
Exchange connections
Where the exchange connection feature is available in your region and account, you may authorise SleeplessNode to access a specified exchange account. You should create an API key following the on-screen instructions and grant only the necessary permissions. SleeplessNode will only read balances, execute spot conversions, transfer assets to your dedicated SleeplessNode address, or return funds to your exchange address as agreed, after completing identity verification, risk controls and your explicit confirmation. Exchange fees, API limits, travel rule filings, withdrawal whitelists and exchange risk controls are the responsibility of the exchange and you. Funds joined via an exchange connection are returned as ETH to your exchange ETH deposit address when the term ends. The settlement amount (USDC) is converted to ETH at the settlement-time price, less a network fee (currently approximately 0.0008 ETH as shown on the product page), and sent. The return amount is fixed at settlement. Subsequent price changes do not affect it. Returns are sent from a fixed address published by SleeplessNode. If your exchange requires you to register the source address, please register that address. If the return amount is insufficient to cover the network fee or is below the exchange minimum deposit, it is credited to your SleeplessNode balance instead. You may unlink at any time, but transfers, conversions or returns already submitted or in progress may need to complete.
Fees and taxes
Product service fees, deposit conversion fees, withdrawal fees, exchange fees and other charges that may apply are as shown on the relevant pages or as actually charged by the exchange. Product service fees are charged on principal each cycle, regardless of gain or loss. Network fees on exchange-connection returns are borne by you. Fees and operational parameters may change. Changes are published on the website. Taxes arising from your account, trades, returns or assets are your own responsibility to file and pay.
Risk disclosure
Crypto asset prices are highly volatile. AI Grid and AI Strategy can both lose money. In extreme cases you may lose all your principal. Historical performance, return rates, win rates or drawdown figures do not indicate future results. Trade execution may be affected by market liquidity, exchange restrictions, blockchain congestion, network failures, third-party service interruptions, regulatory changes or other factors outside our control. You should make your own assessment of whether to participate and use only funds you can afford to lose. SleeplessNode does not provide investment advice, does not guarantee your principal and does not guarantee any minimum return.
Compliance and security
You must comply with the laws of your country or region, ensure your funds are from lawful sources and not use SleeplessNode for money laundering, terrorism financing, sanctions evasion, fraud, market abuse, illegal fundraising or other unlawful activity. You must provide identity, source of funds, address or transaction purpose information as required. SleeplessNode may restrict, suspend or terminate part of the service based on KYC, AML, sanctions screening, travel rule requirements, regulatory requirements or risk controls. After an account is closed, identity verification and transaction records that must be retained by law will be kept for the required period.
Suspension, freeze and termination
In cases of suspected theft, unusual logins, irregular trading, false information, suspicious source of funds, breach of these terms, exchange or blockchain service failures, major technical faults, regulatory requirements or other risk situations, SleeplessNode may suspend functionality, freeze the account, request additional materials or decline to process a particular funds instruction. You may request to close your account if you have no open products, no pending withdrawals, no outstanding compliance reviews and have passed identity verification. On closure, your balance less amounts due will be returned to an address under your control after any necessary checks.
Limitation of liability
To the extent permitted by law, SleeplessNode's liability to you in connection with these terms is limited to your direct losses and does not include loss of profit, loss of opportunity, loss of data or indirect losses. SleeplessNode is not liable for losses caused by blockchain networks, exchanges, custody or payment providers, communication providers, force majeure or your own actions, but will take reasonable steps to reduce impact. This does not affect rights that applicable law mandatorily protects.
Changes and notices
SleeplessNode may amend these terms, product rules, fees, limits or the scope of services. Material changes will be notified in advance via website announcement, in-account notification or email. Continuing to use the service after a change takes effect constitutes acceptance of the revised terms. If you do not agree to a change, you may stop using the service and request to close your account in accordance with these terms. Notices may be sent via in-account messages, email or website announcement.
Governing law and dispute resolution
These terms are governed by the laws of the Cayman Islands. Disputes in connection with these terms or the service should first be resolved through amicable negotiation. If not resolved within 30 days of the start of negotiations, the dispute shall be submitted to the Hong Kong International Arbitration Centre for arbitration under its rules. The seat of arbitration is Hong Kong, the language of arbitration is English, and the award is final. This does not affect provisions of applicable law requiring local court proceedings or mandatory consumer protection.
